Proceeds to Be Used to Fund a Portion of the Senior Care Transaction
LOUISVILLE, KY (September 12, 2006) - Ventas, Inc. (NYSE:VTR) ("Ventas" or the "Company") said today that it has priced a registered public offering of $225 million aggregate principal amount of 6-3/4% Senior Notes due 2017. The sale of the notes is expected to close on September 19, 2006. The offering is being made by a group of underwriters led by Banc of America Securities LLC and Citigroup, as joint book-running managers, and Merrill Lynch & Co., UBS Investment Bank, BMO Capital Markets, Deutsche Bank Securities and KeyBanc Capital Markets, as co-managers.
The notes are being issued by the Company's operating partnership, Ventas Realty, Limited Partnership, and a wholly owned subsidiary, Ventas Capital Corporation (collectively, the "Issuers"), at a public offering price of 99.375% of the principal amount thereof. The notes will mature on April 1, 2017 and will be senior unsecured obligations, ranking pari passu with all existing and future senior unsecured indebtedness of the Issuers and the Company. The Company will unconditionally guarantee the notes. Interest on the notes will be payable semiannually on April 1 and October 1 of each year, beginning on April 1, 2007.
The Company said it currently intends to use the net proceeds of the offering to fund a portion of the cash purchase price of its previously announced transaction with Senior Care.
