(NYSE:VTR) ("Ventas" or the "Company") today announced that, as required under the registration rights agreement entered into in connection with the sale of the Company's outstanding 3 7/8% Convertible Senior Notes due 2011 (the "Notes"), it intends to file with the Securities and Exchange Commission ("SEC"), on or about March 27, 2007, a registration statement on Form S-3 (the "Registration Statement") for registration under the Securities Act of 1933, as amended (the "Securities Act"), of resales of shares of its common stock, par value $0.25 per share (the "Registrable Securities"), which may, under certain circumstances, become issuable upon conversion of the Notes. The Notes were originally sold on December 1, 2006 to qualified institutional buyers by means of a private placement in accordance with Rule 144A promulgated under the Securities Act.
The Registration Statement will become effective upon filing with the SEC.
